1. Services Overview

AzureRift Technologies provides the following creative and technical services:

• Game Development: Full-cycle PC, console, and mobile game development using Unreal Engine and Unity — including game design, programming, art production, QA, and launch support.
• Generative AI Solutions: Custom LLM integrations, AI-powered NPC systems, procedural content generation, Gen AI pipelines, and AI application development tailored to client requirements.
• 3D Animation & Visual Effects: Cinematic animation, character rigging, motion capture integration, real-time VFX, and animated short-form content for games, film, and advertising.
• Mobile Game Development: Native and cross-platform mobile game experiences for iOS and Android, optimised for engagement, performance, and monetisation.
• AI Application Development: Bespoke AI-powered software products, intelligent automation tools, and Gen AI-integrated platforms for studios, enterprises, and startups.
• XR & Immersive Experiences: Augmented and virtual reality experiences, spatial computing applications, and metaverse-ready interactive environments.

Specific terms for each project or engagement will be outlined in separate Statements of Work (SOW), Service Agreements, or Project Contracts.

2. Client Responsibilities

To enable us to deliver our services effectively, you agree to:

• Provide accurate, complete, and timely creative briefs, game design documents, AI requirements, feedback, and approvals.
• Grant access to necessary tools, assets, third-party APIs, engine licences, or platforms required for project execution.
• Cooperate fully with our team and respond promptly to requests for information or creative decisions.
• Maintain the confidentiality of any access credentials, repositories, or build environments provided to you.
• Ensure that all materials, IP, characters, scripts, or datasets you provide comply with applicable laws and do not infringe third-party rights.
• Obtain and maintain any licences, consents, or permissions required — including game engine licences, AI API subscriptions, and third-party asset licences — for your use of our deliverables.

We are not liable for delays or failures caused by your non-compliance with these responsibilities.

3. Intellectual Property Rights

• 3.1 Ownership of Deliverables
  • Upon full payment of all applicable fees, and unless otherwise agreed in writing, you will own the final deliverables specifically created for you — including game builds, animation renders, and bespoke AI models.
  • AzureRift retains the right to reuse general-purpose tools, shaders, rigs, AI pipeline components, and frameworks developed prior to or independently of your project.
• 3.2 AzureRift Intellectual Property
  • All intellectual property rights in our pre-existing materials — including proprietary AI models, animation rigs, game systems, shaders, tools, and internal frameworks — remain solely with AzureRift.
• 3.3 AI-Generated Content
  • Ownership of AI-generated content (images, audio, 3D assets, narrative) produced as part of your project will be governed by the terms in your SOW and applicable AI provider licences.
  • We will not use your project's creative assets, characters, or proprietary data to train or fine-tune AI models for third-party use without your explicit written consent.
• 3.4 Portfolio Rights
  • We reserve the right to showcase completed projects (game trailers, animation reels, AI demos) in our portfolio and marketing materials, unless you request confidentiality in writing.

4. Confidentiality

Both parties agree to treat as confidential all proprietary information disclosed during the course of any project or engagement — including game designs, AI model architectures, animation pipelines, unreleased builds, and business strategies ("Confidential Information"). Confidential Information shall not be disclosed to third parties without prior written consent, except as required by law.

This obligation survives the termination of any agreement between us.

5. Payment Terms

• 5.1 Fees and Invoicing
  • Fees for services will be as outlined in the applicable SOW, project agreement, or invoice.
  • Invoices are payable within the timeframe specified (typically 15/30 days from invoice date).
  • All fees are exclusive of applicable taxes (GST, withholding tax, etc.), which shall be borne by you.
• 5.2 Late Payments
  • If payment is not received by the due date, we reserve the right to charge interest at 1.5% per month (18% per annum) on overdue amounts.
  • We may suspend delivery of game builds, animation assets, or AI model access until full payment is received.
  • Continued delay may result in termination of the project.
• 5.3 Refund Policy
  • No refunds shall be provided once active production has commenced, as creative and technical resources are allocated upon engagement.
  • For fixed-price projects, payments are non-refundable after the project start date.
  • In case of cancellation by you, fees for work completed up to the date of cancellation — including AI compute costs and rendered assets — shall be payable.

6. Warranties and Disclaimers

• 6.1 Our Warranty
  • We warrant that our services will be performed with reasonable skill and care, in accordance with prevailing professional standards for AI development, game production, and animation.
• 6.2 Disclaimer
  • Except as expressly stated, our services and deliverables are provided on an "as is" basis. We make no warranties regarding:
  • Uninterrupted or error-free operation of game builds, AI models, or animated outputs.
  • Fitness for a particular purpose unless explicitly agreed in writing.
  • Compatibility with third-party game engines, platforms, or AI APIs not specified in the project scope.
  • App store approval, platform certification, or distribution outcomes for shipped games.
  • We do not guarantee specific player engagement metrics, AI accuracy rates, or commercial outcomes resulting from our deliverables.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• AzureRift shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of revenue, player data, game progression, or AI outputs — even if advised of the possibility of such damages.
• Our total liability arising out of or related to these Terms or any project, whether in contract, tort, or otherwise, shall not exceed the total fees paid by you to us in the twelve (12) months preceding the event giving rise to the liability.
• This limitation does not apply to liability arising from fraud, gross negligence, willful misconduct, or death/personal injury caused by negligence.

8. Third-Party Services and Integrations

Our solutions may involve integration with third-party platforms including game engines (Unreal, Unity), AI APIs (OpenAI, Gemini, Anthropic), cloud rendering providers, motion capture hardware, and distribution platforms. We are not responsible for:

• The performance, availability, or pricing changes of third-party AI APIs or game engine services.
• Changes to third-party platform terms that affect our deliverables or your distribution ability.
• Any data loss or issues arising from third-party systems, cloud providers, or AI service outages.

You are responsible for complying with the terms of service of any third-party providers used in your project.

9. Termination

• 9.1 Termination by Either Party
  • Either party may terminate a project or agreement with written notice if the other party commits a material breach and fails to remedy it within 30 days of receiving written notice.
• 9.2 Termination by AzureRift
  • We may suspend or terminate services immediately if:
  • You fail to make payments when due.
  • You violate these Terms or any applicable law.
  • You engage in fraudulent, abusive, or illegal activities — including misuse of AI outputs or game assets.
• 9.3 Effect of Termination
  • Upon termination:
  • You shall pay all fees due for work completed up to the termination date, including AI compute and render costs.
  • AzureRift shall deliver any completed deliverables for which payment has been received.
  • Confidentiality and limitation of liability provisions shall survive termination.

10. AI Ethics and Acceptable Use

When engaging our Generative AI or AI application services, you agree not to:

• Use AI outputs to generate harmful, deceptive, defamatory, or illegal content.
• Attempt to replicate, reverse-engineer, or misappropriate our proprietary AI models or pipelines.
• Use AI-generated game assets or characters to infringe on third-party intellectual property.
• Deploy AI models produced under our engagement for purposes outside the agreed scope without prior written consent.

We reserve the right to terminate engagements where AI outputs are being used in violation of ethical standards or applicable regulations.

11. Governing Law and Dispute Resolution

• These Terms shall be governed by and construed in accordance with the laws of India.
• Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Hyderabad, India.

12. Amendments

We reserve the right to update or modify these Terms at any time — particularly as AI regulation, game platform policies, and industry standards evolve. Changes will be effective upon posting to our website with an updated "Last Updated" date. Your continued use of our services after such changes constitutes acceptance of the revised Terms.
